If it's about broadcasting, radio, TV, satellite, cable, this is where to talk about it.

Shareholders of Clear Channel just approved the total sale. This will make CC a private company again. Now it's up to the FCC (I think).

Dean Goodman (who did not look all that happy on the panel of one of the seminars at Charlotte) is out of "GoodRadio LLC," the company buying the CCU WV stations. Goodman had no significant ownership interest in this company.

That company was renamed "Frequency License LLC." It is ultimately owned (through several holding companies) by American Securities Capital Partners, a Manhattan investment group headed by Michael Fisch. The company has no other media investments, but also owns Oreck vacuum cleaners and El Pollo Loco chicken restaurants, in addition to other companies.

In late August CCU sued ASCP over the sale, apparently seeking specific performance of the sales agreement, and ASCP counter claimed against CCU. Latest rumor in the trades is that ASCP seeks reduction of the $22 million + escrow deposit, which would indicate that they may abandon the deal if a mutual agreement can be reached on an amount ASCP has to pay CCU to escape this deal.

The sale of the 180 or so CC stations to ASCP has not been approved by the FCC yet.

The other deal is the privatization of CCU which was approved Tuesday by the stockholders. This awaits justice department approval, and will probably be finalized by the end of the year.
